These Terms of Service and Conditions of Sale (the "Terms") govern the access to and use of the website phonio.ca (the "Site") as well as any order and purchase made on the Site.
By accessing the Site, browsing it, creating an account, or making a purchase, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as by the policies incorporated herein by reference.

In the event of a conflict between these Terms and any of these policies, the specific policy concerned shall prevail (e.g., returns, warranty, shipping).
3- Modifications
We may modify these Terms at any time. The version in effect is the one published on the Site at the time of your visit or purchase. By continuing to use the Site after a modification, you accept the updated Terms.
4- Eligibility and Capacity
You declare that you are of the legal age and have the necessary legal capacity to enter into a contract. If you are using the Site on behalf of a company or organization, you declare that you are authorized to bind that entity, and "you" includes that entity.
5- Customer Account and Security
You may purchase with or without an account. If you create an account, you agree to provide accurate and up-to-date information and to protect the confidentiality of your credentials. You are responsible for any activity performed through your account.
We may suspend or close an account in the event of abusive, fraudulent use or use contrary to these Terms.
6- Permitted Use of the Site
You agree not to:
use the Site for illegal, fraudulent, or deceptive purposes;
disrupt or attempt to disrupt the security or operation of the Site (e.g., intrusion, overloading, bots, scraping);
copy, reproduce, extract, resell, or exploit the content of the Site without authorization;
publish or transmit defamatory, hateful, threatening content, or content that infringes on the rights of others.
7- Products (Refurbished Devices and Accessories)
Phonio primarily sells refurbished electronic devices and accessories.
7.1- Aesthetic Condition and Normal Wear and Tear
Refurbished devices may show normal signs of use. When an aesthetic grade (e.g., Excellent / Very Good / Good) is indicated, it describes the overall appearance of the product.
7.2- Photos and Presentation
Photos may be illustrative (e.g., generic image, color variations depending on the screen). The description and characteristics displayed on the product page at the time of purchase shall prevail.
7.3- Box Contents (Included Accessories)
The contents of the box (accessories included or not) are those indicated on the product page at the time of purchase. In the event of a discrepancy, the product page shall prevail.
7.4- Compatibility and Use
It is your responsibility to verify the compatibility of the product with your needs (carrier, eSIM, accessories, applications, etc.). Unless expressly stated, we do not guarantee fitness for a specialized use.
8- Price, Currency, and Taxes
Prices are displayed in Canadian dollars (CAD) unless otherwise indicated. Applicable taxes and shipping fees are calculated and displayed at checkout before payment confirmation.
9- Orders, Confirmation, and Proof
An order is deemed accepted when:
1. payment is authorized/confirmed; and
2. you receive an order confirmation (on-screen and/or by email).
We may refuse, limit, or cancel an order, particularly in cases of suspected fraud, manifest error in price/description, stock unavailability, or payment/address issues.
10- Errors (Price, Descriptions, Availability)
Despite our best efforts, errors may occur (price, promotions, inventory, description). If an error is found, we may cancel the order and refund the amounts paid, or offer you the option to confirm the purchase at the corrected price/conditions.
11- Payment
Payments are processed by third-party providers (e.g., Shopify Payments and/or other methods displayed at checkout). You authorize the charging of the total amount (products, taxes, shipping, if applicable).
In the event of an abusive or fraudulent chargeback, we reserve the right to refuse any future orders and to pursue our legal remedies.
12- Shipping (Summary) — Reference to Shipping Policy
Shipping is governed by the Phonio Shipping Policy.
Without limiting that policy:
. Orders are generally prepared within 1 to 2 business days (excluding holidays).
. Shipping times are estimates and may vary depending on the destination and the carrier.
. Upon receipt, you must inspect the package. In the event of a damaged package, you must contact us within 48 hours of delivery, with supporting photos (box, label, contents).
. Delivery is deemed completed according to the carrier's proof (delivery scan).
13- Returns and Refunds (Summary) — Reference to Returns Policy
Returns and refunds are governed by the Phonio Returns and Refunds Policy, including notably:
. the 30-day period following delivery;
. eligibility conditions (product condition, accessories, factory reset and removal of iCloud/Google/MDM locks, etc.);
. exceptions (e.g., opened accessories, final sale if indicated, damages);
. applicable fees and the Return Merchandise Authorization (RMA) process.
In the event of a conflict, the Phonio Returns and Refunds Policy shall prevail.
14- Warranty (Summary) — 12-Month Commercial Warranty and Legal Warranty
14.1- 12-Month Commercial Warranty
Eligible devices are covered by the Phonio 12-Month Commercial Warranty, the terms of which (coverage, exclusions, procedure, solutions) form an integral part hereof.
Phonio may, as the case may be, repair, replace (identical or equivalent), or refund if repair/replacement is not possible within a reasonable timeframe, in accordance with the warranty.
14.2- Warranties Provided by Law
The commercial warranty is in addition to the warranties provided by law and does not limit them. Mandatory consumer rights, where applicable, remains in full force.
15- Intellectual Property
The Site and its content (text, images, logos, design, videos, code, databases) belong to Phonio or its licensors and are protected by applicable laws.
Third-party trademarks (e.g., Apple, iPhone, Samsung, Galaxy) belong to their respective owners. Any reference serves solely to identify a product or compatibility, without affiliation.
16- Reviews, Comments, and User Content
If you publish a review or content (text, photo, rating), you declare that you have the necessary rights. You grant Phonio a non-exclusive, worldwide, and royalty-free license to use, display, reproduce, and distribute it for the operation of the Site and marketing communications, unless prohibited by law.
We may moderate or remove content, particularly if it is illegal, deceptive, offensive, or irrelevant.
17- Third-Party Services and Links
The Site may integrate third-party services (payment, shipping, analytics, social media). These third parties have their own terms and policies. Phonio is not responsible for third-party services or their practices.
18- Privacy
The processing of personal information is governed by the Phonio Privacy Policy, which is incorporated herein.
19- Site Availability
The Site is provided "as is" and "as available." We do not guarantee the absence of errors or interruptions. We may suspend the Site temporarily for maintenance, updates, or security.
20- Limitation of Liability (To the extent permitted)
To the extent permitted by law, Phonio shall not be liable for any indirect, incidental, special, consequential, or punitive damages (e.g., loss of profits, loss of data) related to the use of the Site or the purchase/use of a product.
Nothing in these Terms shall have the effect of excluding or limiting liability that cannot legally be excluded or limited.
21- Indemnification
You agree to indemnify and hold Phonio harmless from any claim, loss, liability, cost, and expense (including reasonable legal fees) arising from:
. your violation of these Terms;
. your illegal use of the Site;
. your infringement of the rights of a third party.
22- Force Majeure
Phonio is not responsible for any delay or failure in performance caused by an event beyond its reasonable control (e.g., network failure, disaster, strike, carrier interruption, cyberattack, government action).
23- Disputes, Applicable Law, and Courts
23.1- Amicable Resolution
Before any legal action, you agree to contact us at contact@phonio.ca providing your order number and relevant details in order to attempt a good-faith resolution.
23.2- Applicable Law
Unless mandatory law provides otherwise, these Terms are governed by the laws applicable in the province of Quebec and the federal laws of Canada applicable therein.
23.3- Competent Courts
Subject to mandatory rules applicable to consumers, any dispute shall be submitted to the competent courts of the judicial district of Quebec, Quebec (Canada).
24- General Provisions
. Severability: if a clause is found to be invalid, the others remain in force.
. Non-waiver: failure to enforce a clause does not constitute a waiver.
. Assignment: you may not assign your rights without our consent; Phonio may assign its rights in the context of a reorganization, sale, or merger.
. Entire Agreement: these Terms and the integrated policies constitute the complete agreement.
